Hope Bancorp Announces Mutual Termination of Proposed U & I Financial Merger

LOS ANGELES, Sept. 15, 2017 (GLOBE NEWSWIRE) -- Hope Bancorp, Inc. (NASDAQ:HOPE) (the “Company”), the holding company for Bank of Hope, today announced that it has entered into a Mutual Termination Agreement with U & I Financial Corp. (OTC PINK:UNIF), the holding company for UniBank, to terminate their January 23, 2017 Merger Agreement.

As previously reported, Hope Bancorp identified material weaknesses in its system of internal control over financial reporting in connection with the 2016 audit of its financial statements. Although Hope Bancorp has made significant progress in remediating its internal control weaknesses, the regulatory approvals required to complete the merger will not be obtained prior to the termination deadline of September 23, 2017, as set forth in the Merger Agreement.

“While we are disappointed not to be proceeding with this merger, we believe that a mutual termination is in the best interests of our Company and shareholders at this time,” said Kevin S. Kim, President and Chief Executive Officer.

The Mutual Termination Agreement provides, among other things, that each party will bear its own costs and expenses in connection with the terminated transaction, without penalties or termination fees. In connection with the termination, the parties have provided mutual releases from any claims of liability to one another relating to the merger transaction.
